This Agreement governs your rights and obligations as a RawStockPhoto contributor (the “Contributor”) who uploads to sell photos, vectors, and any other creative content (the “Products”) onto the rawstockphoto.com website (the “Website”). Contributor can be any Author of Photos, Vectors and other creative content and/or his/her authorized representative. This Agreement is between you and the Website. By accepting this agreement you agree with our Terms and Conditions, our Privacy Policy, our Licenses, our Upload Agreement and all other documents and provisions applicable to the use of RawStockPhoto.

SELLER EXAMINATION
After registration on the Website as Seller, You acknowledge and agree to pass an examination procedure Seller Examination. Each new registered Seller shall receive status which can be Pending, Declined or Approved. To perform Seller Examination, the Seller acknowledges and agrees to upload at least 10 suitable products, that he/she intends to sell. Suitable are those products that meet the requirements of our Website. Technical requirements to the files can be found here. Quality requirements can be found here. Our Releases can be found here. Once the Seller uploads Products into our Website, he/she must submit them for approval in "My Profile", Section "My Upload", "Take an Examination" by acquiring status Pending. Within 10 days RawStockPhoto will check whether your Products comply with our requirements. When the Products satisfy our requirements, the Seller acquires status Approved. If the Products do not comply with our requirements, the Seller acquires status Declined. The Seller receives comments why he/she is rejected and the necessary recommendations in "My Profile", section "My Upload". The author must continue to upload products until he/she receives status Approved.

DEFINITIONS FOR CONTRIBUTOR TYPES, EXCLUSIVITY & LEVELS
Contributors in RawStockPhoto with status Approved shall be divided into two Types - Non Exclusive Contributors and Exclusive Contributors.
Non Exclusive Contributor means that you may sell Products on RawStockPhoto Website and other agencies or image banks.
Non Exclusive Contributors shall be divided into specific levels according to the number of downloads - Bronze Level, Silver Level, Gold Level, Platinum Level.
After registering on our site, the Seller automatically receives the lowest level - Bronze Level. To increase his/her level the Seller must perform a certain number of sales. See here.
Exclusive Contributor means that you may sell Products only on RawStockPhoto Website. This means that no Product from this Contributor is offered for free or for sale on another royalty free stock photography site or on the Author_qt_s own stock site.
All the Contributor_qt_s Products must be exclusively offered for sale on the RawStockPhoto Website.
You won_qt_t have the ability to sell any of your Products at another agency or image bank outside RawStockPhoto, except in the following cases:
&_resh_8226; Selling of Products through a personal portfolio website. In such case, the website shall not offer Products for free or sell other authors_qt_ Products;
&_resh_8226; Selling of Products directly to the end user in accordance with an editorial contract;
&_resh_8226; Selling of paper prints of the Products;
&_resh_8226; Printing and selling of derivative products (posters, t-shirts, clothing, decorations and the like), whether by you or through a dedicated website. In such case, the website must not offer Products for free or sell other royalty free creative Products.
To become Exclusive Contributor You acknowledge and agree to sell at least 500 products in our website, to remove all yours Products from all other websites or agencies where the products are available for sale or download. You can declare that you wish to become Exclusive Contributor to us an e-mail support@rawstockphoto.com.
THE EXCLUSIVE CONTRIBUTOR CAN NOT SELL OR OFFER FOR FREE ON ANOTHER SITE HIS OR HER PRODUCTS, INCLUDING, WITHOUT LIMITATION, PRODUCTS THAT HAVE NEVER BEEN SUBMITTED ON RAWSTOCKPHOTO, PRODUCTS THAT HAVE BEEN REFUSED BY RAWSTOCKPHOTO, PRODUCT_qt_S TYPES THAT ARE NOT OFFERED FOR SALE ON RAWSTOCKPHOTO.

PRODUCT EXAMINATION
Once the The seller has acquired status Approved, he or she can continue uploading their products. The seller acknowledges and agrees to upload only the Products that meet our requirements. You acknowledge and agree with our Technical requirements to the files, which you can find here. You acknowledge and agree with our Quality requirements for Products, which you can find here. You acknowledge and agree to use when needed our Releases. The status of the Products can be Pending, Declined or Approved. Uploaded products in our website acquire the status Pending. Within 10 days RawStockPhoto will check whether your products comply with our requirements. When products comply with our requirements, they acquire the status Approved and can be sold. If the product does not comply with our requirements, it acquires the status Declined. The seller acknowledges and agrees to upload another product that meets our requirements. Products that have the status Declined, should be removed (__delete__d) by the Seller within 10 days after acquiring that status. After this period RawStockPhoto will remove (__delete__) Products with status Declined without notifying the Seller, as he or she acknowledges and agrees with this.

PRODUCT PRICING & DESCRIPTIONS
You acknowledge and agree, that the prices of Products in our website are in credits, fixed by RawStockPhoto. Prices are formed according to category/product type and types of licenses. The types of licenses in RawStockPhoto are Standard and Extended (see our Licenses). The categories/types of products have a fixed price in credits (see our Prices and sizes). Each Contributor acknowledges and agrees to sell his /her Product for a fixed number of Credits according to The Category/Product type and types of Licenses. CREDIT SYSTEM & SELLER COMMISSION
Credits are the monetary unit used on the Website. By credits you will sell your Products under our licenses. You can only use credits on the Website. You must have a valid RawStockPhoto member account to sell your Products.
When selling their Products The sellers accumulates commission in credits. The credits are automatically added to the Contributor_qt_s RawStockPhoto account. The Seller can track the number of credits he or she has earned from the sale of Products in "My Profile", Section "My Commission" on our site.
Contributors receive a commission depending on what type they are - Exclusive or Non Exclusive Contributors. The commission of Non Exclusive Contributors is determined by their level on the site - Bronze Level, Silver Level, Gold Level, Platinum Level. The commission is determined by RawStockPhoto fixed percentage of the selling price in credits of the Product, this percentage is different for the different levels.
As an Exclusive Contributor You will receive higher Commissions. Commission from the sale of products until the moment you are approved to be Exclusive Contributor, is determined by the appropriate level for Non Exclusive Contributor.
According to this you acknowledge and agree to receive commissions described here. RawStockPhoto may edit or modify described Commissions, at any time and in our sole discretion, by posting a message on RawStockPhoto Website.

PAYMENTS
RawStockPhoto has the sole discretion to provide the terms of payment. RawStockPhoto announces a fixed price (in EURO) for 1pc. Credit. 1 Credit = 0.80 €. The Seller acknowledges and agrees that credits gained from the commission are (will be) paid to him/her under this fixed price. RawStockPhoto converts your credits in EURO. RawStockPhoto pays in EURO.
You acknowledge and agree that payments from RawStockPhoto shall be carried out periodically, upon reaching a certain number of credits that you received from your commission. On reaching the number of 125 credits payment shall be made to the Seller within 2 weeks from the moment he/she has reached the specified number of credits for payment. If the Seller wants to be paid in credits on parts greater than 125, please email us at support@rawstockphoto.com.
At any time, the Seller may see his /her credit balance in the section "My Commission" ("Earning", "Payout") to our site.
Payment shall be made secure by PayPal. To make a payment to you after your registration as a Seller, you must go to "My Profile", Section "My Commission", "Settings" and must enter a valid e-mail from your Paypal account. If you have not registered an account in PayPal, we can not process a payment. You acknowledge and agree to register for your own free Paypal account. See how here.

TERM AND TERMINATION
This Agreement shall continue in perpetuity unless terminated in accordance with this Section. RawStockPhoto at any time and without prior notice may terminate this Agreement in its sole discretion, with no limitation, if You are in breach of any representation, warranty or obligation under this Agreement.
If the termination is the result of a breach by You of of any representation, warranty or obligation under this Agreement, RawStockPhoto reserves the right, in its sole discretion, and without limitation of any action RawStockPhoto may take, to deduct directly from the Contributor_qt_s account the credits unduly earned by the Contributor during his or her breach.
RawStockPhoto reserves the right to terminate the Contributor_qt_s account if the is determined to repeat the infringement. A repeat infringer is a Contributor who has been notified of infringing activity more than twice.
and/or has had Products removed from the Website due to exclusivе problems more than twice. If you are an Exclusive Contributor, and continue to repeat breach, despite the warnings, RawStockPhoto reserves the right to terminate Your Exclusive Contributor account.
The Exclusive Contributor may at any time terminate his/her Exclusive Contributor_qt_s account, for this purpose, please email us at support@rawstockphoto.com.
Upon any termination of Exclusive Contributor_qt_s account:
- The Contributor loses Exclusivity Contributor Type;
- The Contributor passes to Non Exclusivity Contributor Type and according to the number of Products sold by him / her receives venue Contributor Level. See here;
- Any refusal from Exclusivity Contributor Type may not be regained as a status again.
If the termination is the result of a breach by You of any of your representations, warranties or obligations under this Agreement, any and all Credits which have not been paid to the Contributor by the time of termination are lost by him/her.
As a Contributor You may at any time terminate this agreement, for this purpose, please contact us at support@rawstockphoto.com. If the termination is the result of a your request, all credits that have not been paid by the date of termination will be paid to you, minus any transactional costs made by RawStockPhoto.
If a unilateral termination by RawStockPhoto, regardless of the reason, all credits that have not been paid by the date of termination will be paid to Contributor, minus any transactional costs made by RawStockPhoto.

COPYRIGHT
The Contributor is the author and/or a representative of authors who offer Products for sale in RawStockPhoto. The Contributor acknowledges and agrees to grant the right to RawStockPhoto to publish and sell Products on his/her behalf under our licenses (Standard or Extended). See our Licenses. Copyright on the Products belongs entirely to the Author.
The Contributor acknowledges and agrees to give the right to third parties (Buyers), registered on the Website of RawStockPhoto, to purchase and download his/her products to use only in a manner described in our licenses.

EDITING, DELETING AND MODIFICATION
RawStockPhoto has the discretion to __update__ this Seller Agreement and all other documents related with this Seller Agreement at any time. When we do, we will revise the __update__d date at the bottom of this page. We encourage Users to frequently check this page for any changes to stay informed. You acknowledge and agree that it is your responsibility to review this Seller Agreement and all other documents with this Seller Agreement applicable to the use of RawStockPhoto Website periodically and become aware of modifications.
YOUR CONTINUED USE, VISITS AND SALES FROM OUR WEBSITE FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. If you do not agree to be bound by the this Seller Agreement as so amended, do not use or access the Website.
If at any time this Seller Agreement is no longer acceptable to you, whether or not as a result of any amendment by RawStockPhoto, do not use the Website.

MISCELLANEOUS
This Agreement shall be governed by and construed in accordance with the substantive laws of www.rawstockphoto.com, without any reference to conflict-of-laws principles.
Any dispute, controversy or difference which may arise between the parties out of, in relation to or in connection with this Agreement is hereby irrevocably submitted to the exclusive jurisdiction of the courts of Bulgaria, to the exclusion of any other courts without giving effect to its conflict of laws provisions of your actual state or country of residence.
The entire agreement between the parties with respect to the subject matter hereof is embodied on this agreement and no other agreement relative hereto shall bind either party herein.
Your rights of whatever nature cannot be assigned nor transferred to anybody, and any such attempt may result in termination of this Agreement, without liability to us. However, we may assign this Agreement to any person at any time without notice.
In the event that any provision of these Seller Agreement is found invalid or unenforceable pursuant to any judicial decree or decision, such provision shall be deemed to apply only to the maximum extent permitted by law, and the remainder of these Agreement shall remain valid and enforceable according to its terms.
